1 A company that joins after the first year may be assessed an additional fee to access technology and/or process improvements developed prior to its joining. Assessments will be determined through the establishment of a "first developed" date for the technology and a determination of the quartely Affiliate member fees that have lapsed. Only Senior Partner and Partner companies can negotiate a license for commercial use. Thus late joining companies wishing to license technollogy for commercial use will pay all applicable affiliate member fees and must join at the partner level for their first year.

2 The Center will establish a research agenda that is funded through pooled Center funds. These projects will be precompetitive and the results of this work will be available to Members as set forth here. In addition the Center will encourage individual companies or groups of companies to establish discrete sponsored projeccts to collaborate on issues of mutual interest. These projects will be funded separately by the companies involved and will be established under separate agreement between the companies and the University. The intellectual property developed under these discrete projects will not be part of the Center's pooled IP.

3 The Center will use paper, e-mail and web-based distribution channels for sharing information. The web site will provide the opportunity to interact with other companies and Center organizations through secure password protected access. All official correspondence to and from the Company will be the responsibility of the company's officially designated representative as determined in the Membership Agreement.
